JAKARTA - The consortium led by Elon Musk will withdraw an acquisition offer worth US$97.4 billion (Rp1.5 quadrillion) for OpenAI's non-profit unit if the ChatGPT maker sticks to his mission as a non-profit organization. This was conveyed by Musk's lawyer in court documents on Wednesday, February 13.

Musk, who co-founded OpenAI in 2015 before leaving in 2018, tried to block OpenAI's transformation into a profit-based company. This move is considered important for OpenAI to get more funding and remain competitive in the artificial intelligence (AI) industry.

"If the OpenAI board is willing to maintain its charitable mission and stop it from converting into a profit-oriented entity, Musk will withdraw the offer," the court document wrote.

On the other hand, if OpenAI continues the process of changing its structure, "So non-profit entities must be compensated according to a decent market price." Musk's offer was cited as an attempt to "support the organization's charitable mission."

Musk, who now has a competitor AI startup called xAI, has yet to make an official offer to the OpenAI board. OpenAI CEO Sam Altman previously called Musk's offer "absurd", confirming that non-profit units controlling OpenAI are "not for sale."

Musk left OpenAI in 2018 with a difference of vision with Altman, who later launched a for-profit unit within OpenAI to attract big investors like Microsoft. Currently, Altman is designing OpenAI's restructuring into a profit-based company, although non-profit units still exist and share in the company.

Some analysts think that although Musk's offer is unofficial, this step could complicate OpenAI's efforts to switch to a profit-based company. The reason is, the offer can set a high minimum value for OpenAI non-profit units.

Meanwhile, SoftBank Group is reportedly negotiating to lead funding of up to US$40 billion (Rp654.2 trillion) in OpenAI, which could increase the company's valuation of up to US$300 billion (Rp4.9 quadrillion). If this plan is realized, OpenAI's non-profit units could have shares with a very large value in the company.
