JAKARTA - A whistleblower's complaint alleging that Twitter Inc lied to US federal regulators about the company's security risks could give Elon Musk new ammunition in his bid to get out of the social media company's planned $44 billion acquisition.

In contrast, Zatko's allegations that the company withheld security information from investors and regulators could qualify as Twitter negligence, which does not require Musk to demonstrate reliance on company disclosures.

Musk, however, still needs to prove that Twitter's allegedly weak defenses against hackers are a material risk not being disclosed to investors.

To walk away from the acquisition without paying a $1 billion termination fee, Musk would have to demonstrate the omission amounted to a material adverse effect on Twitter.

A material adverse effect (MAE) is an event that significantly reduces the long-term value of an acquisition. Talley said whether the number of Zatko's claims to the MAE could matter for the trial.

"It's not opening up a new battlefield", said Talley. "It adds texture to the existing one."
