PT PIMSF Ready To Take Over Geoprima Solutions, Aim For 45.45 Percent Of Controlling Shares

JAKARTA - PT Geoprima Solusi Tbk (GPSO), an issuer engaged in large trading machinery and equipment, announced shocking news on the capital market. PT PIMSF, which is part of the Tjokro Group, officially announced plans to take over the controlling shares of GPSO.

The announcement of this acquisition plan has been submitted to the Financial Services Authority (OJK), PT Bursa Efek Indonesia (IDX), and the GPSO Board of Directors on Friday, October 10, 2025.

In the announcement letter delivered, PT PIMSF plans to acquire GPSO shares owned by Karnadi Margaka, the current controlling shareholder.

Specifically, this takeover plan targets share ownership which reaches approximately 45.45 percent of total paid-up capital and placed in GPSO. After the share sale and purchase transaction is completed, PT PIMSF will automatically become the new controller of GPSO.

Investment And Business Expansion Become Motivation

Adi Sulaiman, Director of PT PIMSF, stated that the purpose of this corporate action is to invest and support the development plan and business expansion of Tjokro Group and its affiliates.

PT PIMSF menegaskan bahwa saat ini mereka dan Calon Penjual (Karnadi Margaka) sedang dalam proses finalisasi perjanjian jual beli saham yang diperkirakan akan ditandatangani dalam waktu dekat.

In accordance with the regulations in force in the capital market, PT PIMSF also ensures that after officially becoming the new controller of GPSO, they will carry out a mandatory tender offer (Mandatory Tender Offer) to all public shareholders of GPSO. This is done in accordance with OJK Regulation No. 9/POJK.04/2018 concerning the Takeover of Open Companies.

Information on the Takeover Plan has been announced through the website of the Indonesia Stock Exchange, showing the seriousness of the Tjokro Group to immediately complete this transaction.

This acquisition action is predicted to bring fresh air and potential significant changes to GPSO's future performance, given Tjokro Group's status as a business group that wants to develop and expand.
