JAKARTA Bajaj Auto has finally completed the full acquisition process of KTM after obtaining approval from the European Union authorities. Through transactions worth 800 million euros, or around Rp. 15.4 trillion, the company from India now officially controls all ownership of the Austrian motorcycle manufacturer.

The takeover was carried out through Bajaj Auto International Holdings BV (BAIH), a subsidiary of Bajaj who previously had joint ownership with Pierer Group in Pierer Bajaj AG (PBAG). This agreement was declared complete at the end of November 2025 after all legal and administrative requirements were met, reported by Rideapart, Monday, December 1.

In the transaction, BAIH bought 50,100 PBAG shares from Pierer Industre AG (PIAL). This step also ended the entire ownership relationship between Bajaj and Pierer Group which had been established since 2007 when Bajaj first became a minority investor in KTM.

After the acquisition, Bajaj is now in full control of PBAG and owns 74.9 percent of shares in Pierer Mobility AG (PMAG), the parent company of KTM. Thus, PMAG and KTM are now under the control of Bajaj Auto.

In line with the change in ownership, PBAG will change its name to Bajaj Auto International Holdings AG, while PMAG located in Zurich and Vienna will be changed to Bajaj Mobility AG. The structure of the supervisory board and management at PBAG, PMAG, and KTM will also be adjusted to follow the new formation.

This acquisition is a continuation of the purchase option agreement signed by Bajaj and Pierer Group in May 2025. Bajaj then activated the purchase option through two official notifications pending regulatory permission.

The Austrian antitrust commission stated that Bajaj was not required to bid for a mandatory takeover, until final approval came from the European Union. With the completion of this process, Bajaj entered a new phase in its expansion in the global two-wheel industry, while KTM began a new journey under the full ownership of the Asian automotive manufacturer.
