Ready To Be Annexed By Akulaku, Neo Commerce Bank Will EGMS September 20

JAKARTA - PT Bank Neo Commerce Tbk will hold an extraordinary general meeting of shareholders (EGMS) on September 20, 2021. Not without reason, it seems that this EGMS was carried out by this digital bank because PT Akulaku Silvrr Indonesia will be annexed.

In the announcement on the Indonesia Stock Exchange website, quoted on Thursday 19 August, the shareholders who are entitled to attend the meeting are those whose names are recorded in the shareholder register on Friday, 27 August 2021 until 16.00 WIB.

One shareholder or more who represents 1/20 or more of the total shares with voting rights may propose an agenda that is accepted by the board of directors no later than August 23, 2021. Furthermore, the summons for the meeting will be announced through the website of the Stock Exchange, KSEI, and the company on August 30 2021.

Information on the takeover of the company by PT Akulaku Silvrr Indonesia had previously been submitted in the publication of the Summary of the Takeover Plan of PT Bank Neo Commerce Tbk by PT Akulaku Silvrr Indonesia at the end of last July.

The takeover plan relates to Akulaku's ownership of 1,664,157,909 BBYB shares or approximately 24.98 percent of the total issued and paid-up share capital in BBYB as a result of the implementation of the Limited Public Offering III (PUT III) which resulted in Akulaku becoming the largest shareholder in BBYB. .

Also, after Akulaku passed the fit and proper test as the controlling shareholder of BBYB. The BBYB share takeover document has been submitted to OJK. The takeover has also obtained OJK approval based on Letter Number SR-16/PB.1/2021 on July 26, 2021.

Furthermore, Bank Neo Commerce made an announcement on the summary of this takeover plan to obtain the approval of the EGMS which is one of the requirements to obtain a license to take over BBYB shares from the OJK.
