BRI Schedules EGMS For October 7, Is This The End Of Ari Kuncoro's Fate As A Commissioner?

JAKARTA - PT Bank Rakyat Indonesia Tbk. (BRI) reported that the company plans to hold an Extraordinary General Meeting of Shareholders (EGMS) on Thursday, October 7, 2021. The information was conveyed by BRI in the information disclosure website as quoted by VOI on Monday, August 9.

In the statement, the EGMS was intended to accommodate the request for a meeting by the company's shareholders.

"The meeting was held at the request of the Series A Dwiwarna shareholder", said BRI.

However, the EGMS material has not yet been decided because shareholders must go through the formulation process first and then submit it to the company.

“Shareholders may propose meeting agendas by complying with Article 16 POJK GMS and Article 23 paragraph (6) of the Company's Articles of Association. The proposal is made in writing by the shareholders and properly accepted by the company's directors no later than seven days before the summons for the meeting, namely on Wednesday, September 8, 2021", said BRI.

It was also stated that according to the company's articles of association regarding the EGMS, the company must summon the meeting through the company's official website, the website of the Indonesian Central Securities Depository (KSEI), and the Indonesia Stock Exchange (IDX) no later than Wednesday, September 15, 2021.

As for the shareholders who are entitled to attend and vote, their names must be recorded in the company's shareholder register or in the securities account at KSEI on Tuesday, September 14, 2021, at a maximum of 16.15 p.m. local time.

Just so you know, the EGMS this time is predicted to be a decision whether or not to accept the resignation of BRI's Vice President Commissioner Ari Kuncoro, who had sent a letter of resignation to SOE Minister Erick Thohir.

In the editorial notes, BRI's President Director Sunarso had time to open his voice on this matter. According to him, the mechanism for releasing positions in state-owned companies must go through a number of administrative stages.

"What is clear is that we have received the resignation letter (Ari Kuncoro) from the Ministry of SOEs today. So, his resignation letter was addressed to the Minister of SOEs. Then the Minister of SOEs wrote to BRI to follow up administratively in accordance with the provisions", he said, Thursday, July 22.

Sunarso added, this process itself usually takes more than one month.

"At least it will take 45 days", he said.

For information, BRI Deputy President Commissioner Ari Kuncoro was dragged into a vortex of trouble because he was found to have violated the applicable regulations. The reason is, Ari should not be able to occupy the chair of a high-ranking SOE entity because he has previously served as Chancellor of the University of Indonesia (UI).

Article 35 letter c of Government Regulation (PP) Number 68 of 2013 concerning the UI Statute states that the Chancellor and Deputy Chancellor are prohibited from concurrently serving as officials in state/regional or private-owned enterprises. However, it is reported that the government has reformed the policy after the Ari Kuncoro issue emerged to the public.
