JAKARTA - PT Hutama Karya (Persero) has explained the latest developments regarding the planned merger or merger of BUMN Karya.

Acting Executive Vice President of Corporate Secretary of Hutama Karya, Hamdani, said that the process of forming the BUMN Karya holding is targeted to be completed by the end of this year.

According to Hamdani, the merger stage is currently still waiting for the completion of the restructuring of the financial conditions of each BUMN Karya entity.

He explained that the restructuring process is expected to be completed by mid-year, so that integration between companies can begin afterwards and is targeted to be completed by the end of the year.

"In terms of the timeline, we can expect this restructuring to be completed around the middle of the year, so that the integration process begins in the middle of the year and is expected to be completed by the end of the year," he said in a media briefing in Jakarta, Thursday, April 2, 2026.

Hamdani said that currently, Hutama Karya together with the prospective holding entity has formed a Project Management Office (PMO) to accelerate the merger process.

He explained that through the PMO, adjustments were made in various aspects, ranging from human resources, operations, to company systems.

However, Hamdani admitted that there were still a number of BUMN Karya entities with unhealthy financial conditions, so the government prioritized improvements and restructuring in these entities before they were integrated into the holding.

"So the government's program is to heal these two first, restructure them first, once the report or financial book is improved, they will be integrated into us," he said.

On the other hand, Hutama Karya has also carried out divestments on two toll roads that investors are interested in, namely the Bakauheni-Terbanggi Besar and Medan-Binjai sections, through an asset recycling scheme with foreign funding support.

In terms of performance, Hutama Karya is now in the top 10 state-owned enterprises with a total equity of Rp138 trillion and assets of Rp196 trillion.

Hamdani added that the company's largest contribution to revenue still came from the toll road sector.

He added that although overall toll business had not fully recovered, the daily traffic volume development in several sections showed achievements that had exceeded the target.
