Held Annual GMS, XL Axiata Reorganizes The Board Of Commissioners And Directors

JAKARTA - The 2024 Annual General Meeting of Shareholders (GMS) of PT XL Axiata Tbk (XL Axiata) approved changes to the composition of the board of directors and board of commissioners as well as the distribution of dividends of IDR 635.5 billion which will be given in May this year.

"In the annual GMS, there were six agendas that had been approved in the meeting, including approval for changes in the composition and re-appointment of the board of directors and board of commissioners," said XL President Director & CEO Axiata Dian Siswarini as quoted by ANTARA, Friday, 3 Meri.

Dian added that the meeting approved changes to the composition and re-imposition of the board of directors and this change was related to the appointment of the new Director of Rico Usthavia Frans.

Before being appointed as Director, Rico was appointed as Chief IT, Digital, and Analytics at XL Axiata in September 2023.

The meeting also approved changes to the composition and re-appointment of the Board of Commissioners.

This change is related to the end of Yasmin Stamboel Wirjawan and Muliadi Rahardja's term of office as Independent Commissioners.

Instead, Yasmin Aladad Khan and Didi Syafruddin Yahya as Independent Commissioners.

In addition, the Meeting also approved the appointment of Nik Rizal Kamil Nik Ibrahim Kamil as a member of the Commissioner for the period 2024-2029 starting from the closing of this Meeting until the end of the term of office of a new Board of Commissioners at the close of the 2029 Annual General Meeting of Shareholders.

The following is the new and effective composition of XL Axiata's Board of Directors since the closing of the Meeting:
