KPK Reveals Acquisition Of PT Jembatan Nusantara Approved After PT ASDP's Board Of Commissioners Was Replaced

JAKARTA - The Corruption Eradication Commission (KPK) said that the acquisition of PT Jembatan Nusantara by PT ASDP Indonesia Ferry (Persero) was carried out after a change in the board of commissioners.

This was revealed by the Acting Director of KPK Investigation Budi Sokmo during a press conference on the detention of three suspects in the corruption case of business cooperation (KSU) and the acquisition of PT Jembatan Nusantara by PT ASDP at the KPK Merah Putih building, Kuningan Perada, South Jakarta, Thursday night, February 13.

Those detained were former President Director of PT ASDP Indonesia Ferry (Persero), Ira Puspadewi; former Director of Planning and Development, Harry MAC; and former Commercial and Service Director of PT ASDP Indonesia Ferry (Persero), Muhammad Yusuf Hadi. Meanwhile, Adjie, who is the owner of PT Jembatan Nusantara, was not forced due to his health condition.

At that time, Budi explained that Adjie had actually offered to acquire his company in 2014. However, some of the directors and board of commissioners refused.

"On the grounds that the ships belonging to PT JN are old and PT ASDP tends to prioritize plans for the procurement or construction of new ships," Budi said as quoted from the Indonesian KPK YouTube, Friday, February 14.

After Ira was appointed President Director of PT ASDP Indonesia Ferry in 2018, Adjie then offered his company again. The meeting was then held by Harry Muhammad Adhi Caksono, and Muhammad Yusuf Hadi.

From the offer, finally PT ASDP Indonesia Ferry (Persero) first carried out business cooperation in 2019-2020 and was extended from 2021-2022. The signature of the memorandum of understanding was signed by Ira and Rudy Susanto as Director of PT Jembatan Nusantara.

"And on August 23, 2019, it was signed on August 23, 2019, a master contract for business cooperation was signed," said Budi.

Furthermore, Ira sent a letter to the board of commissioners of PT ASDP regarding a written application for approval for business cooperation with PT Jembatan Nusantara. However, he also sent a letter to the Minister of SOEs.

The letter, continued Budi, said the contents were different because Ira explained that there was a process of exploring the acquisition of the private company through a business cooperation system. "The main commissioner at that time did not approve PT JN's planned acquisition by PT ASDP," he explained.

To ensure that PT Jembatan Nusantara is feasible, there are a number of arrangements made. Among them are prioritizing the departure of the company's ship compared to the PT ASDP ship.

This step was taken with the aim that the company's financial condition looks appropriate for acquisition. The discussion was only held in 2020 after a change in the board of commissioners in April 2020.

In addition,ira also ordered a team to draft because PT ASDP does not yet have internal guidelines for implementing the business process. The acquisition was then carried out by the board of directors during the 2020-2024 RJPP which was approved by the new board of commissioners.

It didn't stop there, Budi also revealed that there was an order from the directors of PT ASDP for KJPP MBPRU to manipulate the assessment of 53 ships belonging to PT Jembatan Nusantara. Because, the results affect the ongoing process.

Then there were several meetings between Ira, Yusuf, and Harry Muhammad to discuss the acquisition value. Budi said the final agreed value was Rp1,272 trillion, "with details of Rp892 billion for the value of shares including calculating the value of 42 ships belonging to PT JN and Rp380 billion for the value of 11 affiliated ships PT JN and new management that will continue PT JN's debt," said Budi.

As a result of this reckless practice, the state then lost up to Rp893,160,000,000. The suspects were then suspected of violating Article 2 paragraph (1) or Article 3 of Law Number 31 of 1999 concerning the Eradication of Criminal Acts of Corruption, as amended by Law Number 20 of 2001 concerning Amendments to Law Number 31 of 1999 concerning Eradication of Criminal Acts of Corruption Jo. Article 55 paragraph (1) of the 1st Criminal Code.
