Danantara Boss Ensures SOE Commissioners No Longer Get Tantiem

Rosan said this decision was also in line with President Prabowo Subianto's direction, who wanted the policy of providing bonuses for SOE commissioners to be removed.

"We are running according to the direction of the President, we are evaluating all of them thoroughly, we have removed the tantiem for commercialists," said Rosan when met at the DPR RI Building, Jakarta, Tuesday, August 19.

Rosan said Danantara would also tighten the provision of bonuses for SOE directors. According to him, tantiem will be given based on the actual company's performance, not beautified results or window dressing.

"For the board of directors, the calculation of the tantiem is only based on the company's operations or income," he said.

"So there is no more, as the President said, for example, books that are beautified. So everything has been adjusted to the rules," continued Rosan.

Previously, President Prabowo Subianto was upset that the commissioners of state-owned companies only held meetings once a month, but received tantiem of up to IDR 40 billion per year.

For your information, tantiem is the distribution of company profits to certain parties, directors, commissioners, or shareholders who are given as a form of appreciation for their performance or contribution.

"Just a trick. So we don't know what tantiem is. There are commissioners who have meetings once a month, the tantiem is Rp40 billion a year," he said in his speech at the 2026 Financial Note and RAPBN, at the Parliament Complex, Jakarta, Friday, August 15.

Therefore, Prabowo admitted that he had ordered Danantara Indonesia to clean up BUMN. He asked Danatara not to provide bonuses if state-owned companies suffered losses.

"I have also ordered the Danantara, the board of directors does not need to be (given) tantiem if they lose and fortunately they have to make a good profit, don't be careless," he said.

Prabowo emphasized that the directors and commissioners of SOEs who objected to not getting bonuses, please resign. He said Indonesia did not run out of children of the nation who were ready to replace it.

"But this is serious, unreasonable, so directors and commissioners if they object, are not willing to accept Tantiem, stop. Many young people are able to replace them," he said.

For your information, the Anagata Nusantara Power Investment Management Agency (BPI Danantara) prohibits the board of commissioners of State-Owned Enterprises (BUMN) and its subsidiaries from obtaining bonuses from the company's performance. In addition, it is also not allowed to receive incentives.

The instruction was contained in an official letter numbered S-063/DI-BP/VII/2025 concerning the Provision of Tantiem, Incentives, and/or Income in Other Forms to the Board of Directors and Board of Commissioners of SOEs and BUMN Subsidiaries.

The letter was signed by Danantara Indonesia Chief Executive Officer (CEO) Rosan Roeslani dated July 30, 2025.

In addition to regulating the provision of bonuses and incentives for the board of commissioners, Danantara also provides the latest rules for the board of directors of SOEs. Based on the letter, members of the SOE directors and their subsidiaries can still receive bonuses and incentives from the company's performance.

However, the provision of bonuses and incentives in the form of performance incentives, special incentives, and/or long-term incentives must be based on financial reports that are actually the result of the company's operations and reflect on sustainable business activities.

This incentive should not be calculated from non-operational activities. Such as asset revaluation gains, asset sales, or transactions for another time that are not repeated.

This instruction is carried out in order to implement good corporate governance standards that apply at the national and international levels to maintain the interests of SOEs and all stakeholders.
