Add Capital, Issuer With Commissioner Wulan Guritno Wants Right Issue 584.78 Million Shares

PT Lima Dua Lima Tiga Tbk (LUCY) plans to implement the Company's Capital Increase by Providing Pre-emptive Rights (PMHMETD) or rights issue as one of the agendas approved by shareholders.

In the issuer's Extraordinary General Meeting of Shareholders (EGMS) with the commissioner of the artist Wulan Guritno, shareholders approved PMHMETD or rights issue which is planned to be carried out with a maximum amount of 584,775,000 shares with a nominal value of Rp10.

"The price of implementing PMHMETD will be set and announced later in the PMHMETD prospectus by taking into account the applicable regulations and regulations, including the requirements stipulated in the Indonesian Stock Exchange Regulation (IDX)," said LUCY President Director Surya Andarrachman quoting Antara.

After setting the price for the implementation of PMHMETD, the Company will take all measures to implement PMHMETD based on applicable laws and grant delegations of authority to the Board of Commissioners of the Company to state the results and changes to the issued and fully paid capital after the implementation of PMHMETD.

PMHMETD proceeds after deducting emission costs will be used, among others, to take over 54 percent of PT Graha Senopati Sentosa's shares worth IDR 23 billion, take over 51 percent of PT Kreasi Sejahtera Bahagia shares worth IDR 11 billion, and the rest are used for the development of both organic and non-organic businesses.

PMHMETD plans to be held no later than 12 months after the EGMS with shareholder approval.

"By creating an integrated restaurant and bar company concept that expands the Company's market share and creates stronger company synergies, it will be better able to compete with other companies," added Surya.

He also hopes to achieve efficiency in several business fields of the Company which is expected to make a positive contribution to the Company's future consolidated financial performance.

The Company will develop its business by increasing the business activities of the Special Event Organizers with the Standard Classification Code of the Indonesian Business Field Number 82302, both on the basis of customer request and based on its own planning.

"The activities of organizing this special event include festivals, carnivals, sporting events, music events, cultural events, personal events and similar events," he said.
