Omni Hospitals, Hospitals Owned By Conglomerate Eddy Kusnadi Sariaatmadja Caplok 28 Percent Shares Jakarta Eye Center

JAKARTA - The manager of Omni Hospitals and EMC, PT Sarana Meditama Metropolitan Tbk (SAME) has acquired a 28 percent stake in PT Nitrasanata Dharma, which operates a network of hospitals and special eye clinics for the Jakarta Eye Center (JEC).

SAME, which is a subsidiary of PT Elang Mahkota Teknologi Tbk (EMTK) owned by conglomerate Eddy Kusnadi Sariaatmadja, acquired 16,396 shares, equivalent to 28 percent of PT Nitrasanata Dharma's shares from Keutenberg Holdings BV

Corporate Secretary of PT Sarana Meditama Metropolitan Tbk, Rahmiyati Yahya said the nominal value of the annexation was Rp. 800,000 per share. Thus, in the transaction that took place on April 21, 2022, it cost around Rp. 13.12 billion.

According to its official website, JEC currently has four hospitals; JEC Menteng, JEC Kedoya, JEC-Primasana Tanjung Priok and JEC-Candi in Semarang. In addition, JEC also operates nine special eye clinics spread across Jakarta, Bekasi, Purwokerto, Semarang, Surabaya, Makassar and Denpasar.

Previously, SAME had also annexed the majority ownership in PT Kedoya Adyaraya Tbk (RSGK). Last year SAME became the controlling shareholder of RSGK with 66 percent ownership.

Through a mandatory tender offer that will take place from December 21, 2021 to January 19, 2022, SAME has again received additional shares of RSGK. Now SAME controls 742,242,200 shares, equivalent to 79.84 percent of RSFK's shares.

Another 122,055,540 shares, or 13.13 percent, are held by PT Bestama Medikacenter Investama. Meanwhile, the public owns 65,377,260 shares, equivalent to 7.03 percent of RSGK shares.
