The Approval Of The Ministry Of SOEs During The Acquisition Process Of PT Jembatan Nusantara By ASDP Will Be Investigated By The KPK

This was conveyed by the Acting Director of KPK Investigation Budi Sokmo in a press conference on the detention of three former directors of PT ASDP Indonesia Ferry (Persero) who were suspects in the corruption case of business cooperation (KSU) and the acquisition of PT Jembatan Nusantara.

Those detained were former President Director of PT ASDP Indonesia Ferry (Persero), Ira Puspadewi; former Director of Planning and Development, Harry MAC; and former Commercial and Service Director of PT ASDP Indonesia Ferry (Persero), Muhammad Yusuf Hadi. Meanwhile, Adjie, who is the owner of PT Jembatan Nusantara, was not forced due to his health condition.

"We have to study in detail whether the approval (given by the Ministry of SOEs, ed) does have a quote or is in accordance with the procedure. We are currently studying this," Budi said as quoted from the Indonesian KPK YouTube show, Friday, February 14.

Budi alluded to the acquisition process, Ira as the main director has sent a letter to the Minister of SOEs. However, the contents were different to the board of commissioners of PT ASDP Indonesia Ferry.

To the Minister of SOEs, Ira said that there was an assessment of the acquisition of PT Jembatan Nusantara which began with the business cooperation process.

Thus, further investigation will be carried out on the acquisition process. "Common sense, of course, friends can feel for themselves the situation. But we can't say because there is no evidence yet," he said.

"We also have confidence in that but we will strengthen the evidence," continued Budi.

Some time ago, Shelvy Arifin as Corporate Secretary of PT ASDP Indonesia Ferry said PT Jembatan Nusantara had been acquired 100 percent since February 22, 2022. Reporting from a number of media, he said the private company had 53 ferry boats and operated on 21 short-distance routes and three long-distance routes.

At that time, continued Shelvy, studies by independent consultants had been carried out before the acquisition process. As a result, the value of all shares of PT Jembatan Nusantara exceeded a maximum figure of IDR 1.6 trillion.

Furthermore, the acquisition value of PT Jembatan Nusantara is said to have reached Rp1.27 trillion. "This figure is lower when compared to the valuation price based on an independent consultant's assessment of Rp1,341,000,000,000," Shelvy said in a written statement, Saturday, August 10, 2024.

Adapun akuisisi terhadap PT Jembatan Nusantara telah termaktub dalam Rencana Jangka Panjang Perusahaan (RJPP) ASDP tahun 2014. Langkah ini juga tercantum alam Rencana Kerja dan Anggaran Perusahaan ASDP tahun 2022 dan menjadi bagian dari Key Performance Indicator (KPI) korporasi di tahun tersebut.

"Yang mana rencana akuisisi terhadap PT Jembatan Nusantara tersebut telah mendapat persetujuan dari Dewan Komisaris dan pemegang saham," tegasnya.

ASDP is also confirmed to implement good corporate governance practices in every step and action taken. "This corporate action has received approval from the Minister of State-Owned Enterprises, based on a feasibility study and due diligence involving at least six prominent independent institutions," concluded Shelvy.
