Follow SOE Law, PGN Changes Status to a Corporation
JAKARTA - PT Perusahaan Gas Negara Tbk (PGN) officially changed the status of the company into PT Perusahaan Gas Negara (Persero) Tbk as part of an adjustment to Law Number 16 of 2025 concerning the Fourth Amendment to Law Number 19 of 2003 concerning State-Owned Enterprises (UU BUMN).
The decision was agreed upon in the Extraordinary General Meeting of Shareholders (RUPSLB) held on Monday, December 29, 2025.
In the meeting, shareholders approved three agenda items, namely the change of rights to the company's shares, changes to the Articles of Association, and the delegation of authority to the Board of Commissioners to provide approval for the Company's Work Plan and Budget (RKAP) for 2026 and the Company's Long-term Plan (RJPP) Period 2026-2030, including changes.
The change in the Articles of Association was carried out to ensure the alignment of the company's regulations with the latest provisions of the SOE Law. One of the concrete implementations of the adjustment is the change of the company's name from PT Perusahaan Gas Negara Tbk to PT Perusahaan Gas Negara (Persero) Tbk.
In addition, the GMS also approved the delegation of authority to approve the 2026 Annual Work Plan and the 2026-2030 Annual Work Plan to the Company's Board of Commissioners. This delegation of authority is carried out while paying attention to risk mitigation aspects and the application of the principles of good corporate governance or Good Corporate Governance.
PGN Corporate Secretary, Fajriyah Usman, conveyed that this AGM decision was part of the Company's governance consolidation steps.
"The adjustments approved by shareholders aim to ensure the alignment of the Company's Articles of Association with applicable regulatory provisions, while strengthening the clarity of the roles, decision-making mechanisms, and accountability for sustainable corporate management," he said in a statement. official, Tuesday, December 30.
PGN emphasized that this decision of the GMS was a reflection of the Company's strong commitment to governance structure, regulatory certainty, and long-term performance sustainability.
