Kimia Farma Signs Share Transfer With AII And CIZJ

JAKARTA - In the context of developing the healthcare industry in Indonesia, PT Kimia Farma Tbk (KAEF) has transferred the shares of its subsidiary PT Kimia Farma Apotek (KFA).

This was stated by the signing of the KFA Stock Sale and Purchase Deed owned by KAEF with investors on December 27, 2022, in Jakarta. The investors involved are PT Akar Investasi Indonesia (AII), which is a subsidiary of the Indonesia Investment Authority (INA) and CIZJ Limited (CIZJ), which is a subsidiary of Silk Road Fund Co, Ltd.

The signing of the sale and purchase deed is a continuation of the signing ceremony for the Conditional Share Subscription and Purchase Agreement on November 13, 2022. The event was attended by the President Director of KAEF, Mr. David Utama, KAEF Director of Finance and Risk Management, Mrs. Lina Sari, KFA Board of Directors, as well as from INA, AII, SRF and CIZJ.

KAEF has made a deal with AII and CIZJ to invest in KFA directly with a value of Rp1.86 trillion through the takeover of some of KAEF's KFA's shares worth Rp460 billion and KFA's new share taking with a value of Rp1.4 trillion to support working capital and business development.

KFA will carry out future business development through the New Business Model with Digitalization, by combining offline and online stores with omnichannel strategies, integration of Pharmacies- Diagnostika Clinics-Lab, and the New Digital Channel. Currently, the number of existing outlets owned is 1,195 pharmacies, 410 clinics and 72 clinical laboratories spread throughout Indonesia.

President Director of PT Kimia Farma Tbk, David Utama, in his written statement, Friday, December 30, said that the development of pharmacy and clinical services continues to be carried out by looking at existing market opportunities. The goal, he said, is so that the public can access quality health services.

"Kimia Farma sets the implementation of development through Partnership Strategy with business partner companies such as AII and CIZJ which can provide benefits to be able to develop Operational Excellence & Service Experience thus KFA can create the value of excellence," said David.
