Holds An Extraordinary Meeting Of Shareholders Today, Garuda Indonesia Make Sure There Is No Substitution Of Directors-Commissioners

JAKARTA - PT Garuda Indonesia (Persero) Tbk will hold an extraordinary general meeting of shareholders (EGMS) today. One of the agendas is to discuss changes to the articles of association that have an impact on the company's activities in the future.

President Director of Garuda Indonesia Irfan Setiaputra ensured that in today's EGMS there was no agenda for changing directors in the body of the issuer coded as GIAA shares.

"What is clear is that after I checked there was no change in management (directors and commissioners)," he told reporters, written Tuesday, December 27.

The EGMS agenda will be continued with a public expose or presentation of the company's performance to shareholders. Later this event will take place in a hybrid manner both online and offline.

In this EGMS, GIAA will also announce additional capital without pre-emptive rights (PMTHMETD) or private placement with a value of IDR 5.18 trillion.

Based on information disclosure on the Indonesia Stock Exchange (IDX), Garuda Indonesia itself will hold a private placement on December 28.

The implementation of a private placement in the form of conversion of mandatory-conversion bonds (OWK) of IDR 1 trillion to 5.1 billion series C shares with a nominal value of IDR 196 per share.

Then the creditor's debt conversion according to the list, GIAA also issued new shares without Preemptive Rights in the amount of 21.32 billion series C shares with a nominal value of IDR 196 per share.

Irfan said that with these corporate actions, his party has not been able to reveal the composition of shareholders until next year. The latest position of shareholders will be delivered after the EGMS is completed.

"Not yet, we will wait when it is finished. What the President's government asks for is waiting for the results. We must give the shareholders the opportunity to participate or not. Later it will come out this month," explained Irfan.
