Djony Bunarto Tjondro Replaces Prijono Sugiarto As Astra's New President Director

JAKARTA - The Annual General Meeting of Shareholders (AGMS) of PT Astra International Tbk or Astra approved the appointment of Djony Bunarto Tjondro as the new President Director replacing Prijono Sugiarto who was appointed as Astra's new President Commissioner.

"The AGMS approved the appointment of members of the board of directors and commissioners, including appointing Djony Bunarto Tjondro as President Director," said Astra's Chief of Corporate Affairs, Riza Deliansyah in Jakarta, Tuesday, June 16.

He also added that Astra's AGMS also appointed Prijono Sugiarto as Astra's new President Commissioner. The appointment of Prijono Sugiarto as Astra's new President Commissioner to replace the previous President Commissioner, Budi Setiadharma.

In addition, the AGMS of Astra appointed Rahmat Waluyanto and Apinont Suchewaboripont as Independent Commissioners. Both were appointed to replace the previous Independent Commissioners, namely Muhamad Chatib Basri and Akihiro Murakami who resigned from these positions.

Djony Bunarto Tjondro previously served as Vice President Director of Astra. Meanwhile, Prijono Sugiarto previously served as President Director of Astra.

As of the closing of this Meeting for the term of office as determined by the Articles of Association of the Company, thus the composition of the members of the Board of Directors and the Board of Commissioners of the Company changes to be as follows:

Dividend Distribution

In the AGMS, it was also decided that Astra would distribute dividends of Rp. 8.6 trillion or Rp. 214 per share as cash dividends. The dividend includes interim dividends of Rp. 57 per share or Rp. 2.3 trillion which were paid on October 30, 2019.

The remaining Rp157 per share or a total of Rp6.35 trillion will be paid on July 10, 2020 to the company's shareholders whose names are registered in the company's shareholders list on June 26, 2020.

The AGMS also approved the use of the company's consolidated net profit for the financial year ended 31 December 2019 amounting to IDR 21.70 trillion. The remaining profit after dividend collection, amounting to Rp. 13.04 trillion, was recorded as retained earnings.
