JAKARTA - Herbalife Ltd strengthened its data-driven nutrition business expansion by acquiring a number of assets of British personal supplement company Bioniq.
The transaction value reached 55 million US dollars (USD) with additional potential payments of up to 95 million US dollars depending on future performance.
Herbalife Chief Executive Officer Stephan Gratziani said the acquisition is part of the company's strategy to strengthen its technology-based health and fitness platform and data.
"In the future, health and fitness will be increasingly personalized and data-based. By combining Bioniq's personal supplement technology with Pro2col and our global distributor network, we are expanding our ability to deliver personal wellness solutions on a global scale," said Gratziani.
Bioniq is known for developing a personalized supplement formula based on a patented product personalization machine.
The technology utilizes biomarker data as well as an individual's health history to design a nutritional formulation tailored to the user's needs.
Bioniq products are used by various consumer segments, ranging from the general public to professional athletes, including footballer Cristiano Ronaldo who is also a shareholder of the company.
This acquisition also complements Herbalife's previous expansion steps after acquiring Pro2col and Link BioSciences, which focus on nutrition personalization technology.
Bioniq Founder and President Vadim Fedotov said the partnership with Herbalife opens up opportunities to expand access to science-based personal nutrition to the global market.
"I am very excited to join Herbalife, which has a global distributor network and a commitment to advancing wellness broadly," he said.
This transaction is targeted to be completed in the second quarter of 2026 after meeting the closing requirements and regulatory approvals.
Herbalife will pay $10 million at closing, with the remainder of the acquisition value payable over five years.
In addition, Herbalife also obtained a purchase option to acquire Bioniq LAB, a platform focused on the development of small molecules and peptides.
Bioniq personal nutrition supplements are expected to be available through Herbalife's independent distributors in a number of European and US countries by the end of 2026 before being expanded to other global markets.
