MDKA Proposes a Plan to Change the Board of Directors in the 2026 RUPST

JAKARTA - PT Merdeka Copper Gold Tbk (IDX: MDKA) will propose a change in the composition of the Company's Board of Directors at the Annual General Meeting of Shareholders (RUPST) which is scheduled to be held electronically on Tuesday, June 23, 2026.

In the agenda, the Company will ask for shareholder approval for the appointment of Mirdal Vismara Timoer, Mohammad Fitriyansyah, and M.P. Riyadi Effendy as members of the Company's Board of Directors. The presence of the new Board of Directors candidates is expected to strengthen Merdeka's leadership structure with relevant capabilities in the fields of operations, project management, finance, and business development.

The change in the Board of Directors also includes approval of the resignation of Jason Laurence, David Thomas Fowler, and Chrisanthus Supriyo from their respective positions as Directors of the Company. The Company expresses its appreciation for the contributions and dedication that have been provided during their tenure as members of the Merdeka Board of Directors.

President Director of the Company, Albert Saputro, said that the refreshment of the Board of Directors had been planned for a long time as part of the Company's efforts to strengthen corporate governance and improve the effectiveness of business management in the future.

We believe that the experience and competence of the proposed Board of Directors candidates will further strengthen the Company's ability to implement growth strategies in a disciplined, measurable, and sustainable manner," said Albert.

Mirdal Vismara Timoer, currently serving as Deputy Group CFO of Merdeka Group since 2025. He has more than 15 years of experience in finance, accounting, strategic planning, financing, and investor relations in the mining, energy, oil and gas, and telecommunications sectors.

Joining Merdeka since 2018, Mirdal previously held a number of strategic positions, including Head of Corporate Finance, FP&A and Investor Relations. He earned a Bachelor of Commerce in Accounting and Finance from Deakin University and a Master of Applied Finance from Monash University, Australia.

Mohammad Fitriyansyah has more than 30 years of experience in the fields of engineering, construction management, and the implementation of Engineering, Procurement and Construction (EPC) projects. This graduate of Civil Engineering from the University of Indonesia has experience across sectors, including oil and gas, petrochemicals, power plants, mining infrastructure, and agribusiness.

Throughout his career, he has held various leadership positions at PT Rekayasa Industri, PT Balfour Beatty Sakti Indonesia, PT JGC Indonesia, PT Petrosea Tbk, and PT Austindo Nusantara Jaya Tbk.

M.P. Riyadi Effendy (Teddy Effendy) has more than 30 years of experience in the fields of finance, corporate governance, business transformation, and strategic management. Currently he serves as the Chief of Business Improvement of the Merdeka Group as well as a Director of a number of subsidiaries of the Company.

Prior to joining Merdeka in 2022, he held various leadership positions at Arthur Andersen & Co., Astra Group, Lippo Group, Kia Mobil Indonesia Group, and PT Hyundai Oto Komersial Indonesia.

The change in the composition of the Board of Directors will be effective after obtaining shareholder approval in the RUPST, with a term of office in accordance with the Company's Articles of Association and applicable laws and regulations. There is no proposal to change the composition of the Company's Board of Commissioners.

Merdeka will continue to strengthen governance, maintain operational continuity, and develop the mining asset portfolio according to the Company's business plan. This step is aimed at supporting long-term performance and creating sustainable value for shareholders and all stakeholders.
