Paramount Sues Warner Bros. Over Transparency of Netflix Acquisition After It Rejected Its Offer
JAKARTA - Paramount CEO, David Ellison, announced that his company has filed a lawsuit against Warner Bros. Discovery (WBD). This lawsuit was filed to demand financial data in the Netflix acquisition.
Since late last year, Warner Bros. has been vying for Netflix and Paramount. Both are determined to acquire WBD, but the company has rejected Paramount's offer since December 2025. Even though it has been rejected, Paramount is still trying to attract WBD's attention.
Now, Paramount has filed a lawsuit with the Delaware Court of Chancery. He demands more transparent financial data disclosure in an effort to acquire Netflix for US $82.7 billion or around Rp. 1,394 trillion. According to Elisson, WBD's board of directors deliberately concealed important information to shareholders in the transaction.
Through this lawsuit, Paramount wants WBD shareholders to directly assess the acquisition offer from the two companies. For Ellison, Paramount's acquisition offer of 30 US dollars (Rp505 thousand) per share is still superior when compared to the deal between Netflix and WBD.
"WBD failed to include any disclosure about how they assessed the overall Netflix transaction or what the basis of their risk adjustment was for our cash offer," Ellison said in a letter sent to shareholders, launching from TechCrunch on Tuesday, January 13.
Ellison also added that Warner Bros. continues to give changing reasons to avoid Paramount's acquisition offer. The last time, the WBD board of directors rejected Paramount's acquisition offer on the grounds that the risk was too great and the estimate that both deals would fail.
"WBD has given increasingly new reasons to avoid a transaction with Paramount, but what they never said, because they can't, is that a transaction with Netflix is financially superior to our actual offer," Ellison explained.
In addition to Paramount, several parties are also concerned about the merger between Netflix and Warner Bros. In fact, US President Donald Trump also voiced his concerns. According to him, this acquisition could make Netflix even more dominate the media market share and this is considered to cause big problems.
