GoTo Announces Plans To Change Leadership Structures

JAKARTA - PT GoTo Gojek Tokopedia Tbk (GOTO), the largest digital ecosystem in Indonesia, today announced a leadership change plan, where Hans Patuwo has been nominated as Chief Executive Officer (CEO). This appointment will be submitted for approval at the upcoming Extraordinary General Meeting of Shareholders (EGMS), which is scheduled for December 17, 2025. Hans will replace Patrick Walujo, who resigned from his post after serving as President Director since June 2023.

These nominations and transitions are part of a succession process that has been carefully prepared by the Board of Directors reflecting the Company's commitment to ensuring stability, strategy continuity, and strengthening operational execution as GoTo enters its next growth phase towards sustainable profitability.

"I would like to thank Patrick for his extraordinary leadership over the past two and a half years. We have witnessed a significant period of transformation under his direction. Since being appointed in June 2023, Patrick has brought GoTo through a transformation process that strengthens the Company's financial fundamentals, sharpens its operational focus, and provides clarity again on the company's long-term direction," said GoTo President Commissioner Agus Martowardojo, in his statement, Monday, November 24.

"I also congratulate Hans who has been nominated as President Director of GoTo. His long experience in the ecosystem, as well as his commitment to the welfare of driver-partners and business partners, made him the ideal candidate to lead GoTo to move forward," he added.

Patrick Walujo, President Director of GoTo, expressed his deepest appreciation to the entire GoTo extended family for his extraordinary dedication for the past two and a half years.

"The hard work of the entire team has become the key in bringing GoTo in a better position," Patrick explained.

"I would also like to congratulate Hans, who has held an important role in GoTo's journey for nearly a decade. He has a comprehensive understanding of GoTo's operations, ranging from experience on the ground to corporate strategy decisions. His proven leadership capability and integrity make Hans the right person to lead GoTo into a new chapter of his journey," Patrick added.

With nearly eight years of experience at Gojek, Gopay, and then GoTo, Hans has led various main lines of the Company. He joined Gojek in 2018 as Chief Operating Officer focused on the operation of driver and transportation partners, strengthening one of the most vital foundations for the GoTo ecosystem. Hans also played a strategic role in the development and expansion of GoTo Financial (GTF) and led the business as President, making it one of Indonesia's leading fintech platforms.

In his current position as Chief Operating Officer and President of On-Demand Services (ODS), he leads all operations in the Company ecosystem. Through this role, he succeeded in encouraging growth, efficiency, and profitability through data-based operational discipline. Prior to joining Gojek, Hans had experience working in the United States, China, and Singapore in multinational companies, including serving as Partner at management consulting firm McKinsey.

Proposed Additional Changes To The Board Of Directors And Board Of Commissioners

In addition to changing CEOs, GoTo also announced several changes to the management and composition of the Board of Commissioners.

Direksi's Resignation

Ade Mulyana, Director of Public Affairs and Communications, has submitted his resignation to focus on family commitments and other professional activities outside GoTo.

Proposed Changes In The Composition Of The Board Of Commissioners

Commissioners Pablo Malay and Winato Kartono have submitted their resignation letters. Andre Soelistyo and Santoso Kartono have been nominated to fill the position. Both have strategic experience as well as an in-depth understanding of technology and investment that will strengthen the supervisory function and management of the company as part of the Board of Commissioners.
