Minister Of Trade Budi Santoso: Mergers Of Tokopedia And TikTok Shop Sales Centers Don't Blame Rules
Minister of Trade (Mendag) Budi Santoso said the merger of the Tokopedia and TikTok Shop by Tokopedia sales centers did not violate the rules.
Budi said that his party had communicated with the two entities and it was confirmed that no rules had been violated.
"Friends have already conveyed it to them and they are still following the existing rules, which apply," Budi said in Jakarta, quoted by Antara, Wednesday, June 4.
He explained that TikTok Shop's acquisition of Tokopedia did not violate the Regulation of the Minister of Trade (Permendag) Number 31 of 2023 concerning Business Licensing, Advertising, Guidance, and Supervision of Business Actors in Trade Through Electronic Systems.
One of the points in the regulation is prohibiting social media from becoming e-commerce. Therefore, TikTok then acquired Tokopedia and became TikTok Shop by Tokopedia.
Now, the parent company from TikTok Shop, Bytedance, is combining the sales center of Tokopedia and TikTok Shop by Tokopedia into one platform. Sellers at Tokopedia are required to move the platform no later than 9 June 2025.
Budi said that basically the integration of the two entities did not violate Permendag 31/2023.
"So far, nothing has been violated. So technically it doesn't violate the Permendag," said Budi.
Previously, the Investigator of the Business Competition Supervisory Commission (KPPU) had completed the thorough assessment process of the PT Tokopedia share takeover transaction by Tik Tok Nusantara (SG) Pte. Ltd.

As a result, the Investigator stated that the transaction has the potential to cause monopolistic and/or unfair business competition.
Investigators also proposed various conditional approvals to be applied to the two entities.
