'Only' Spending IDR 24.45 Billion In Cash, Brother Of The Conglomerate Hary Tanoesoedibjo Officially Becomes Owner Of A Zebra Taxi

JAKARTA - Bambang Rudijanto Tanoesoedibjo or Rudy Tanoe officially controls the taxi company based in East Java, PT Zebra Nusantara Tbk. This was after Rudy Tanoe's pharmaceutical export-import company, PT Trinity Healthcare (THC), signed a Conditional Sale and Purchase Agreement (PPJB) with PT Infiniti Wahana (IW) as the controlling shareholder in the ZBRA share-coded company.

Infiniti owns 665,186,134 shares of ZBRA, consisting of 3,400 Series A shares with a par value of Rp500 per share. Then, 665,182,734 Series B shares with a nominal value of IDR 100 per share or a total of 77.70 percent of all issued and fully paid shares in ZBRA.

The PPJB (Sales and Purchase) agreement was signed on February 26, 2021. Based on the PPJB, Infiniti and THC agreed to buy and sell 436,627,835 Series B shares or 51 percent of the total issued and fully paid shares in ZBRA (shares sold) for IDR 56 per stock.

If calculated, Rudy Tanoe poured IDR 24.45 billion in funds to carry out this action. The transaction price was lower than ZBRA's share price at the close of trading on Wednesday, March 10 at the level of IDR 106 per share.

As the implementation of PPJB, on March 9, 2021, THC as buyer and IW as a seller have completed the purchase and transfer of shares sold through the crossing in the negotiation market on the Indonesia Stock Exchange, totaling 436,627,835 shares.

The business of the sister company of conglomerate Hary Tanoesoedibjo includes general trading including import-export, and retailing, especially pharmaceutical goods, medical equipment, consumer products, distribution, online trading, logistics, and information technology which are run through the subsidiary.

Rudy Tanoe is the largest shareholder with Trinity Healthcare with 90 percent. Then Juliati Hadi was 9 percent, and 1 percent was narrowed by Rudy's son, Gary J. Tanoesoedibjo.

"The takeover is aimed at developing and diversifying ZBRA's business as well as developing business segments in the fields of distribution trading, logistics, and information technology. Before the takeover, there was no affiliation relationship between THC and ZBRA", wrote the management of Trinity Healthcare.

For information, Zebra Nusantara is a taxi company domiciled in Surabaya, East Java. The company operates "Zebra" taxis and rents out limousines in Surabaya.

Zebra Nusantara started its commercial business in 1987. However, as of September 30, 2020, the company did not have a taxi unit as the conventional taxi business faded due to the booming online taxis.

Quoting Zebra Nusantara's financial statements as of September 2020, the company's revenue reached IDR 8.86 billion, down from the same period in 2019 which was IDR 10.83 billion. ZBRA's net profit is only IDR 94.98 million from a September 2019 net loss of IDR 1.29 billion.

ZBRA's assets are also only IDR 5.98 billion with cash and cash equivalents of IDR 321 million. Practical sales only from BBG (natural gas) made by its subsidiary, PT Zebra Energi, to third parties.
