GoTo Changes The Company's Management Composition After The 2023 AGMS
JAKARTA - PT GoTo Gojek Tokopedia Tbk (GoTo or Company, IDX: GOTO) changed the composition of the company's management based on the results of the Annual General Meeting of Shareholders (AGMS) and the Extraordinary General Meeting of Shareholders (EGMS).
The company has obtained approval from shareholders of all proposed AGMS and EGMS agendas. Among the approvals that have been obtained, the Company announced a stronger leadership line to improve the Company's governance and carry out more efficient and fast business operations to encourage business in accelerating its steps towards profitability," said GoTo Corporate Secretary Koesoemoadiani in a statement quoted by ANTARA, Friday, June 30.
All agendas of the AGMS and EGMS that require shareholder approval have been approved, including the Company's 2022 Annual Report, and the ratification of the Company's Consolidation Financial Statements and Child Entities for the financial year ending December 31, 2022.
Shareholders are also said to have approved the EGMS agenda, namely the addition of members of the Company's Board of Directors who can become Series B shareholders.
In the AGMS, there are a number of changes in the composition of the Board of Commissioners and Directors of the Company which have been in effect since the AGMS was closed for a term of office in accordance with the Company's articles of association.
The first is Andre Soelistyo's resignation as President Director of the Company and appointed himself as Commissioner of the Company.
Second, the transfer of Garibaldi Thohir's duties and authorities, who was originally the Company's President Commissioner, became the Company's Commissioner. Third, the change in the position of Agus D. W. Martowardojo, who was originally the Company's Commissioner, became the Company's President Commissioner.
Fourth, accept the resignation of Mr. Patrick Sugito Walujo as the Company's Commissioner and then appoint himself as the President Director of the Company. Finally, appoint Thomas Kristian Husted as Deputy President Director of the Company.
"I believe that under the leadership of Mr. Patrick Walujo as President Director and guidance from Mr. Agus DW Martowardojo as President Commissioner, the Company is in a strong position to continue to grow and bring benefits to all stakeholders. I and other members of the Board of Commissioners will continue to oversee, provide input, as well as directions to GoTo management," said Andre Soelistyo.
On behalf of the Board of Commissioners, Agus DW Martowardojo also thanked Andre Soelistyo for his dedication in developing GoTo into Indonesia's largest digital ecosystem to date.

Patrick's involvement with the GoTo ecosystem began even from the beginning of the establishment of Gojek, and he has actively played a role in the development of Indonesia's digital technology landscape. In detail, the composition of the Board of Commissioners and Directors of the Company consists of President Commissioner Agus D. W. Martowardojo, Commissioners consisting of William Tanuwijaya, Andre Soelistyo, Garibaldi Thohir, Winato Kartono, and Wishnutama Kusubandio.
The Independent Commissioner consists of Dirk Van den Berghe, Marjorie Lao, and Robert Holmes Swan.
The board of directors consists of President Director Sugito Walujo, Deputy President Director Thomas Kristian Husted, and Director including Wei-Jye Total Lo, Catherine Hindra Sutjahyo, Hans Patuwo, Melissa Siska Juminto, Nila Marita, and Pablo Malay.
